Offshore companies can be divided into two types; those that have a requirement for resident
directors in the jurisdiction of incorporation and those that do not impose any such
restriction i.e. that allow directors to be resident anywhere in the world.
In the former instance C(OS)L can provide suitably qualified directors and secretaries in
order to meet local requirements. In the latter clients may either provide their own company
officers or, as is most often the case, request that C(OS)L provide third party directors.
In both instances C(OS)L are able to provide or assist in the provision of nominee shareholders
if required.
C(OS)L Supplied Officers/Directors
Directors and officers of companies are legally responsible for all of the actions of the
company and are accountable for all acts undertaken in the Company's name. There are no
such things as Nominee Directors and accordingly where C(OS)L provide directors to a
company it is mandatory that we retain complete control over the company's affairs.
Whilst the directors will, of course, be guided by any reasonable request of the beneficial
owner of the company their duties and obligations as a matter of law are paramount.
Client Supplied Officers/Directors
Where clients supply their own directors and officers C(OS)L are able to assist in the
provision; on an annually recurring basis the statutorily required registered office
and agent and will prompt the client for the payment of annual Government/State fees.
General Administration Services
In addition to the incorporation of companies, the provision of directors, officers,
secretaries and nominee shareholders and providing registered office/agent facilities
C(OS)L can also provide the following additional services:-
